MUSIC CITY MARYLAND ASSOCIATION VENDOR CONTRACTThe parties to this contract are Music City Maryland Association (HOST) and (VENDOR ) Whereas, Host is hosting events at the Vortex at CAA PARK located at 202 Ingleside Avenue Catonsville, MD 21228 in 2026 on dates and times indicated below has the right to license concessions to vend at and during the Event. Now, therefore, the parties agree as follows: 1. LOAD IN Vendor shall have access to the location assigned by Host 2 to 3 hours before the Event&#39;s commencement for the purpose of setting up Vendors vending station, goods, and other things necessary and reasonable to storage and vending at the location. However load in after event start time is not permitted. 2. Vendor shall not sell any goods or services other than those described herein at and during the Event without the Host&#39;s prior written consent. 3. Vendor&#39;s vending station shall be no larger than 10 feet x 10 feet unless agreed upon prior no taller than 12 feet; shall be maintained in a clean, sanitary and orderly condition; and shall comply with all applicable laws and regulations. Vendor shall provide its own booth and power supply. 4. Vendor&#39;s staff may announce the availability of the goods to be vended only while they are within the confines of the vendor&#39;s location.5. Vendor&#39;s staff shall be clothed and groomed in a clean, neat fashion and shall conduct themselves in an orderly and business-like fashion. 6. No loud music, noise, or sound amplification devices shall be used by the vendor&#39;s staff at, or around, the location. 7. Vendor shall, at the event&#39;s conclusion, dismantle and remove all things brought to the location by Vendor. Vendor shall leave the location clean of trash and substantially in the condition it was before occupied by Vendor. 8. Vendor hereby agrees to indemnify and hold the Host harmless against any damages or claims that may arise in connection with Vendor&#39;s presence at the Event and Vendor&#39;s activities of any kind, with such indemnification to include costs incurred in evaluating any claim, negotiating and settling any claim, and/or litigation costs and are to include actual attorney fees. Vendor shall maintain for the Event both business owners liability insurance and product and/or commercial liability insurance in types and amounts acceptable to Host for the duration of the Event and shall promptly provide proof of such insurance upon request by the Host.&nbsp;9. In the event of a material breach of this Agreement resulting in damage to the other party, or in the event that an action is required to enforce or interpret the provisions of this agreement or to obtain injunctive relief, the prevailing party shall recover from the other party any and all damages sustained, including actual attorney fees and costs incurred, in addition to any other relief to which said prevailing party may be entitled.10. It is mutually agreed that this Agreement is the result of negotiations between the parties and this document shall not be construed with any presumption against the draftsman. 11. This Agreement is binding upon and shall ensure to the benefit of the parties hereto and their respective successors, heirs, assigns and legal representatives, but it may not be assigned by any party without the prior written consent of the others. 12. This Agreement is made solely and specifically among and for the benefit of the parties hereto, and their respective successors and assigns, subject to the express provisions hereof relating to successors and assigns, and no other person shall have any rights, interest, or claims hereunder or be entitled to any benefits under or on account of this Agreement as a third party beneficiary or otherwise.13. This Agreement shall be construed and enforced in accordance with the laws of the State of Maryland without regard to its conflict of laws principles. 14. If any provision of this Agreement is held by a court of competent jurisdiction to be void, invalid or unenforceable, the same shall in no way affect any other provision of this Agreement, the application of any such provision in any other circumstances, or the validity or enforce ability of this Agreement and this Agreement shall be construed as if such void, invalid or unenforceable provision had been stricken from this Agreement as of the date of execution hereof. 15. The Host and the Vendor acknowledge and agree that no modification of this Agreement shall be binding upon any of the parties unless the same is in writing and signed by the party to be charged thereby. 16. If Vendor signs as a business entity, each of the persons executing this Agreement on behalf of such business entity does hereby covenant and warrant that Vendor is a fully authorized business entity, that Vendor has and is qualified to do business in Maryland, that the entity has full right and authority to enter into this Agreement, and that each and all of the persons signing on behalf of the entity are authorized to do so and bind said entity. 17. This Agreement embodies the entire agreement and the understanding of the parties to this Agreement with respect to the subject matter of this Agreement. There are no restrictions, promises, representations, warranties, covenants or undertakings other than those expressly set forth in this Agreement. This Agreement supersedes all prior agreements and understandings between the parties with respect to such subject matter, and any such prior agreements or understandings are merged into this Agreement.18. This is a rain or shine event unless otherwise noted.19. All vendors and vendor staff will abide by directions given by festival staff and vendor manager. 20. Food vendors will have to abide by all Baltimore County codes and register with the Baltimore County health dept.
