NOW, THEREFORE, the parties agree as follows: 1. Event Details 1.1 Tournament of Nations  1.2 Event Date: August 24, 20245 1.3 Event Location: DC Bullpen -1201 Half St SE, Washington, DC 20003 2. Vendor Responsibilities 2.1 Products/Services: Vendor agrees to provide their products/services for the entirety of the event, which is from 10am until 8pm.  2.2 Signage: Please have visible signage to communicate services and pricing.  2.3 Supply: The venue Capacity is 4,000 have 500 plus collective RSVPs. We expect goods/services to to cover this amount of guests.  2.4 Booth Space: UABL will provide Vendor with a designated booth space as well as chairs and tables, unless the vendor has their own material for setup.    2.5 Setup and Dismantling: Vendor will be permitted to set up their booth on August 24, 2025, starting at 8:00 am and must dismantle by 8:00 pm on the same day.  2.6 Compliance: Vendor agrees to comply with all applicable laws, regulations, and venue rules, including health and safety standards in Washington DC.  2.7 Social Media Coverage: Vendor agrees to promote event on social media. Each vendor will receive a custom flyer and description and suggested captioning for social media post. UABL expects that the vendor will post the flyer on their story and add to their social media page. Please ensure you tag @UABLPro in everything related to the Event on your social media pages. 3. Fees and Payments 3.1 Vendor Fee: Vendor agrees to satisfy any fees or payments to UABL for participation in the Event.   3.2 Payment Schedule: The fee is due on or before July 23, 2025.    3.3 Refunds: No refunds will be provided for cancellation by the Vendor  4. Permits and Licenses 4.1 Required Licenses: Vendor is responsible for obtaining and maintaining all necessary permits and licenses required for their products/services. 5. Liability and Insurance 5.1 Insurance: Vendor agrees to maintain adequate insurance coverage for their operations and products/services. 5.2 Liability: UABL will not be liable for any loss, damage, or theft of Vendor’s property or for any injury that may occur during the Event. 6. Indemnification Vendor agrees to indemnify, defend, and hold harmless UABL and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, and expenses arising out of or related to Vendor’s participation in the Event. 7. Termination 7.1 For Cause: UABL reserves the right to terminate this Agreement immediately if Vendor breaches any term or condition of this Agreement. 7.2 For Convenience: Either party may terminate this Agreement after reasonable reconcilable attempts and with written notice to the other party. The costs and fees will not be reimbursed to Vendor.  8. Miscellaneous 8.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings. 8.2 Amendments: Any amendments to this Agreement must be made in writing and signed by both parties. 8.3 Governing Law: This Agreement will be governed by and construed in accordance with the laws of Maryland.
