LIABILITY WAIVER, RELEASE, &amp; INDEMNIFICATION AGREEMENTFor I SlayREAD CAREFULLY BEFORE SIGNING – THIS IS A LEGALLY BINDING AGREEMENT THAT LIMITS YOUR RIGHTS.BY SIGNING THIS AGREEMENT, YOU WAIVE CERTAIN LEGAL CLAIMS AGAINST I SLAY AND ITS REPRESENTATIVES. IF YOU DO NOT UNDERSTAND IT, SEEK LEGAL COUNSEL BEFORE SIGNING.I acknowledge that I am voluntarily participating in programs, events, workshops, classes, gatherings, outings, or other activities organized, hosted, sponsored, facilitated, or affiliated with I Slay (collectively, the “Activities”), whether held indoors, outdoors, virtually, at partner venues, rented facilities, public spaces, private properties, or any other location.I understand that participating in these Activities carries inherent risks, including but not limited to:<ul><li>Physical injury (e.g., muscle strain, sprains, fractures, cardiovascular incidents, concussions).</li><li>Accidents due to falls, equipment failure, or participant collisions.</li><li>Environmental hazards (e.g., weather conditions, uneven terrain, insect bites, exposure to allergens).</li><li>Exposure to contagious illnesses (including but not limited to COVID-19, flu, or other airborne viruses).</li><li>Psychological stress or discomfort.</li></ul>I VOLUNTARILY ASSUME ALL KNOWN AND UNKNOWN RISKS associated with participating in the Activities, including risks arising from the negligence of I Slay or any Released Party.2. GENERAL RELEASE &amp; WAIVER OF LIABILITYTo the fullest extent permitted by law, I waive, release, and discharge I Slay, its board members, officers, employees, volunteers, affiliates, contractors, sponsors, and partners (collectively, the “Released Parties”) from any and all liabilities, claims, demands, damages, rights, or causes of action that I or my heirs may have arising from or related to my participation in the Activities.THIS RELEASE APPLIES TO CLAIMS BASED ON:Negligence of the Released Parties.Premises liability or unsafe conditions of event spaces.Failure to provide proper medical attention or emergency care.THIS WAIVER DOES NOT COVER INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE, to the extent such claims cannot be waived under Texas law.3. AGREEMENT NOT TO SUEI agree not to sue or bring any legal action against I Slay or any Released Party for any claim released by this Agreement. If I breach this promise and file a lawsuit, I agree to pay all legal fees and costs incurred by the Released Parties in defending against my claims.4. MEDICAL RELEASE &amp; ASSUMPTION OF COSTS (INITIAL BY EACH STATEMENT)<ul><li>I certify that I am physically capable of participating in the Activities and have consulted with a healthcare provider if necessary.</li><li>I understand that I Slay does not provide medical insurance or assume responsibility for medical care.</li><li>If I require medical attention during participation, I authorize I Slay to seek emergency medical care on my behalf, and I agree to be financially responsible for any costs incurred.</li></ul>5. INDEMNIFICATION (HOLD HARMLESS CLAUSE)I AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS I Slay and the Released Parties from any claims, liabilities, damages, costs, or expenses (including attorney’s fees) arising from:<ul><li>My own negligence, misconduct, or failure to follow safety instructions.</li><li>Injuries or damages caused to third parties due to my actions during the Activities.</li><li>Any claims brought by my heirs, family members, or representatives.</li></ul>6. MEDIA RELEASE &amp; CONSENTI understand that photographs, video recordings, audio recordings, and other media may be captured during any I Slay Activity. By signing this Agreement, I grant I Slay and its representatives permission to use my name, image, likeness, voice, and appearance in any format and in any media now known or later developed, including but not limited to social media, marketing materials, promotional campaigns, fundraising materials, press coverage, websites, educational materials, and archival documentation. I acknowledge that such media may be edited, published, distributed, and reused at the discretion of I Slay without compensation or additional approval. I waive any right to inspect or approve the finished materials. If signing on behalf of a minor, I grant the same permissions on the minor’s behalf.7. SEVERABILITY CLAUSEIf any part of this Agreement is found to be legally invalid or unenforceable, the remaining sections shall remain in full force and effect.8. TEXAS LAW &amp; VENUE SELECTIONThis Agreement shall be governed by Texas law and enforced to the fullest extent permitted by Texas Civil Practices &amp; Remedies Code § 84 (Charitable Immunity &amp; Liability Act).Any legal dispute shall be exclusively resolved in the courts of Travis County, Texas and I agree to submit to the jurisdiction of those courts.I waive any right to bring claims in other states or jurisdictions.9. FACILITY &amp; EQUIPMENT USE AGREEMENTI understand that I Slay Activities may take place in a variety of locations including but not limited to gyms, studios, parks, pools, rental venues, partner-owned facilities, public spaces, private properties, outdoor areas, and temporary event sites. I acknowledge that equipment, furniture, fixtures, machines, weights, racks, staging, vendor materials, décor, or other property located within any venue are not part of the Activities unless explicitly designated for participant use. I agree that I will not move, adjust, operate, test, climb on, or otherwise interfere with any equipment or property belonging to I Slay, host venues, vendors, sponsors, partners, or other third parties without prior written authorization. I understand that unauthorized use or movement of equipment or property may result in injury, damage, or loss, and I voluntarily assume full responsibility for any consequences arising from such actions. I further acknowledge that I Slay and any host venue or affiliated entity shall not be liable for injuries resulting from unauthorized use or movement of equipment or property. 11. PERSONAL PROPERTY &amp; BELONGINGS I understand that I am solely responsible for my personal belongings at all times during participation in the Activities, regardless of location. I acknowledge that I Slay, its board members, officers, employees, volunteers, contractors, sponsors, partners, vendors, affiliates, and any host venue shall not be responsible or liable for lost, stolen, or damaged personal property. I assume all risk related to bringing personal items to any Activity.12. ACKNOWLEDGMENT &amp; SIGNATUREBY SIGNING BELOW, I ACKNOWLEDGE THAT I HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO THIS LIABILITY WAIVER.I understand that I am waiving my right to sue for negligence.I agree that this waiver applies to all participation in I Slay Activities during the 2026 calendar year unless otherwise stated.I confirm that I am at least 18 years old and legally capable of signing this document.If signing on behalf of a minor (under 18), I confirm that I am their parent or legal guardian and accept all terms on their behalf.
