Dear Vendor,Thank you for your interest in participating in the Galentine’s Bingo Night 2025 fundraiser, organized by the Westport Young Woman’s League (WYWL). The event will take place at Saugatuck Congregational Church, Hoskins Hall, located at 245 Post Road East, Westport, CT 06880, on February 6, 2025. Outlined below are the terms of the Vendor Agreement between you (the “Vendor”) and the WYWL.<h3>Event Details:</h3><ul><li style="box-sizing:inherit">Setup: Space will be available for setup beginning at 4:00 PM on February 6, 2025. Vendors must complete their setup by 6:30 PM.</li><li style="box-sizing:inherit">Event Timing: Vendors must staff their tables for the entire event duration, from 6:30 PM to 10:00 PM.</li><li style="box-sizing:inherit">Teardown: Vendors may not begin teardown before 10:00 PM, unless otherwise advised. All materials, unsold merchandise, and setup items must be removed by 11:00 PM.</li></ul><h3>Vendor Fee:</h3><ul><li style="box-sizing:inherit">The non-refundable $200 Vendor Fee is due upon signing this agreement. Your spot is not guaranteed until payment is received.</li><li style="box-sizing:inherit">By paying this fee, you agree to the terms outlined in this agreement.\</li></ul><h3>Terms and Conditions:</h3><h4>Vendor Space:</h4><ul><li style="box-sizing:inherit">The WYWL will provide one (1) 6-foot table (no tablecloth) and two (2) chairs.</li><li style="box-sizing:inherit">Vendors may not bring, set up, or use any additional display units (e.g., tables, racks, easels, shelves, etc.) unless a written request is submitted and approved by the WYWL.</li><li style="box-sizing:inherit">To comply with Fire Marshal regulations, unapproved displays will not be permitted. The WYWL reserves the right to remove any unauthorized items.</li></ul><h4>Ticket Sales:</h4><ul><li style="box-sizing:inherit">Vendors waive any rights to proceeds collected through WYWL ticket or event sales.</li></ul><h4>Goods:</h4><ul><li style="box-sizing:inherit">All goods sold must be fit for their intended purpose, of merchantable quality, and free from defects.</li><li style="box-sizing:inherit">Vendors may not sell merchandise that violates trademarks, patents, or intellectual property laws. The sale of counterfeit or knock-off items is strictly prohibited.</li></ul><h4>Insurance, Liability, Damage, and Taxes:</h4><ul><li style="box-sizing:inherit">Vendors must carry adequate insurance for their merchandise.</li><li style="box-sizing:inherit">Neither the WYWL nor Saugatuck Congregational Church will be liable for damage, theft, or loss of merchandise.</li><li style="box-sizing:inherit">Vendors agree to indemnify and hold harmless the WYWL from any claims arising from their participation, except those caused solely by WYWL's negligence.</li><li style="box-sizing:inherit">Vendors must comply with Connecticut tax regulations and ensure they hold a valid Connecticut Sales Tax Registration Number.</li></ul><h3>Venue Rules:</h3><ul><li style="box-sizing:inherit">Decorations:<ul><li style="box-sizing:inherit">Only flowers, floral arrangements, and plants from commercial or retail florists are permitted.</li><li style="box-sizing:inherit">The following materials are prohibited: bark, seed pods, pollen-bearing plants, moss, wood, dirt, sand, leaves, hay, logs, bones, confetti, or streamers. Avoid flowers with excessive pollen or strong odors (e.g., lilies, goldenrod).</li><li style="box-sizing:inherit">No misting or fog machines, ice sculptures, open flames, or flammable materials are allowed.</li></ul></li><li style="box-sizing:inherit">Decorations may not be placed outside contracted areas without prior written approval from the venue.</li><li style="box-sizing:inherit">The venue reserves the right to prohibit any decorations deemed inappropriate, damaging, or hazardous.</li></ul><h3>Advertising and Marketing:</h3><ul><li style="box-sizing:inherit">Vendors agree to allow the WYWL to use their company name, logo, and website/social media links for marketing purposes.</li><li style="box-sizing:inherit">The WYWL will promote vendors through various marketing channels, including social media, newsletters, and print media. While marketing efforts will be made, the WYWL cannot guarantee specific frequency or timing of promotions.</li></ul><h3>Force Majeure:</h3><ul><li style="box-sizing:inherit">The WYWL is not liable for losses resulting from its inability to perform or conduct the event as scheduled due to circumstances beyond its control, including acts of God or force majeure incidents.</li></ul><h3>Termination:</h3><ul><li style="box-sizing:inherit">The WYWL reserves the right to terminate this agreement and refund the Vendor Fee if notified before February 2, 2025.</li></ul>We sincerely thank you for your participation in the WYWL 2025 Galentine’s Bingo Night.
