Terms and Conditions for Event Sponsorship, Promotion, and Advertising
1. Introduction
These Terms and Conditions ("Agreement") govern the relationship between the Sponsor ("Sponsor") and the Trucause Foundation - Event Organizer ("Organizer") regarding the sponsorship, promotion, and advertising related to the Medifest ("Event"). By agreeing to sponsor the Event, the Sponsor acknowledges and agrees to be bound by these Terms and Conditions.
2. Sponsorship Agreement
a. Sponsorship Package: The Sponsor agrees to participate in the Event under the specific sponsorship package outlined in the signed agreement between the Sponsor and the Organizer. The package includes the rights, benefits, and obligations of the Sponsor as described in the Agreement.
b. Sponsorship Fee: The Sponsor agrees to pay the sponsorship fee outlined in the Agreement. Payment terms and deadlines must be adhered to in order for sponsorship benefits to be fully realized.
c. Payment Terms: The Sponsor agrees to pay the agreed sponsorship fee according to the payment schedule in the Agreement. Failure to comply with the payment terms may result in the suspension or cancellation of the sponsorship.
3. Rights and Benefits of the Sponsor
a. Branding and Promotion: The Sponsor will receive the branding and promotional benefits described in the sponsorship package, including but not limited to:
• Logo placement on event materials (e.g., event website, brochures, signage)
• Inclusion in event marketing and advertising campaigns
• Verbal acknowledgment during the Event (if applicable)
• Complimentary tickets or access to the Event (if specified in the Agreement)
b. Exclusivity: The Sponsor may or may not receive exclusivity for their industry/category, as defined in the Agreement. If exclusivity is granted, the Organizer will not allow other competing brands from the same industry/category to sponsor the Event.
c. Content Approval: The Sponsor agrees to provide all content (e.g., logos, advertisements, promotional materials) to the Organizer for approval before being included in event materials. The Organizer reserves the right to reject content that does not meet the event’s branding or quality standards.
4. Sponsor’s Responsibilities
a. Provision of Materials: The Sponsor agrees to provide all required materials (e.g., logos, advertisements, promotional items) in the correct format and by the deadlines specified by the Organizer.
b. Compliance with Guidelines: The Sponsor agrees to comply with the Organizer’s guidelines and instructions regarding the use of the Event’s name, logo, and branding.
c. Setup and On-Site Participation: The Sponsor is responsible for any on-site setup, including booth or display assembly (if applicable). The Sponsor agrees to adhere to the event schedule and deadlines for setup and breakdown.
5. Promotion and Advertising
a. Event Promotion: The Organizer agrees to promote the Event to a wide audience through various channels, including but not limited to social media, email marketing, and paid advertisements.
b. Sponsor’s Own Promotion: The Sponsor is allowed to promote their sponsorship of the Event, provided that such promotion complies with the Event’s branding guidelines. Any promotional material that references the Event must be approved by the Organizer prior to dissemination.
c. Restrictions on Promotion: The Sponsor agrees not to make any promotional statements or advertise in a way that could damage the reputation of the Event, the Organizer, or other Event sponsors. The Organizer reserves the right to withdraw any promotional content that is deemed inappropriate.
6. Event Cancellation or Modification
a. Event Cancellation: In the event that the Organizer must cancel or reschedule the Event for any reason, the Sponsor will be notified promptly. If the Event is cancelled, the Organizer will work with the Sponsor to provide a refund or an alternative solution, as outlined in the Agreement.
b. Event Modification: The Organizer reserves the right to modify the Event, including dates, venue, or format, provided that the Sponsor is given reasonable notice. The Organizer will make reasonable efforts to ensure the Sponsor’s benefits are not adversely impacted by such modifications.
7. Liability and Indemnification
a. Organizer Liability: The Organizer is not liable for any loss, damage, or injury caused by the Sponsor’s participation in the Event, except in cases of gross negligence or willful misconduct.
b. Sponsor Liability: The Sponsor agrees to indemnify and hold harmless the Organizer, its employees, agents, and contractors from any claims, damages, or expenses arising out of the Sponsor’s participation in the Event, including any claims related to the Sponsor’s promotional materials, products, or services.
8. Intellectual Property
a. Ownership of Content: The Organizer retains ownership of all intellectual property related to the Event, including its name, logo, and branding. The Sponsor is granted a limited license to use the Event’s name, logo, and branding solely for promotional purposes related to the Event, in accordance with the Organizer’s guidelines.
b. Sponsor’s Intellectual Property: The Sponsor retains ownership of its logos, trademarks, and any other intellectual property provided to the Organizer. The Organizer agrees not to use such materials except for purposes related to the Event and within the scope of the Agreement.
9. Confidentiality
The Sponsor agrees to keep confidential any proprietary or confidential information shared by the Organizer related to the Event, including but not limited to event strategies, attendee lists, and financial details.
10. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Tennessee, Shelby County, without regard to its conflict of law principles.
11. Dispute Resolution
Any disputes arising from this Agreement will be resolved through mediation or arbitration, as agreed by both parties, before seeking any form of legal action.
12. Miscellaneous
a. Force Majeure: Neither party shall be liable for failure or delay in the performance of its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, or pandemics.
b. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, regarding the subject matter.
c. Amendments: Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
13. Acceptance
