Membership Terms & Conditions — UP North America Association, Inc.By submitting this membership application and checking the agreement box below, I (the applicant) agree to the following:Governing Documents. I have read and agree to be bound by the Articles of Incorporation, the Bylaws, and the policies of UP North America Association, Inc. ("UPNAA"), as amended from time to time.Approval of Membership; Refund. I understand that my membership is subject to review and approval by UPNAA's leadership (the National Executive Committee or the Board of Directors). Submitting this application and paying dues does not by itself create membership. If UPNAA does not approve my membership application, my payment will be refunded.Nonvoting Membership. Membership is a nonvoting membership. Members have no right to vote on, manage, or control UPNAA's operations, no right to elect or remove any director or officer, and no right to call or require any meeting, as set forth in the Bylaws.Binding Arbitration. Any dispute arising under or relating to my membership will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its commercial rules, at its office nearest Atlanta, Georgia, as provided in the Bylaws. I will not file or maintain any lawsuit based on such a dispute, except an action solely to enforce an arbitration award.Waiver of Derivative Claims. Consistent with Article VII of the Articles of Incorporation, I waive any right to bring a derivative proceeding on behalf of UPNAA under O.C.G.A. §§ 14-3-740 through 14-3-747.Limitation of Liability; Covenant Not to Sue. To the fullest extent permitted by law, the directors, officers, committee members, employees, and agents of UPNAA shall not be personally liable to me for monetary damages for any action taken, or failure to act, in good faith in the course of serving UPNAA, and I covenant not to sue and release each of them from any such claim. This does NOT apply to, and I do not waive, any claim that cannot lawfully be waived, including claims arising from intentional misconduct, fraud, a knowing violation of law, or any transaction from which a person derived an improper personal benefit. Nothing here limits any right to indemnification under the Bylaws or applicable law.Dues. Membership dues are non-refundable except as expressly provided in the Bylaws (including a refund if my application is not approved).Accuracy & Electronic Signature. The information I provided is true and correct. I understand that checking the agreement box constitutes my electronic signature and agreement to these Terms & Conditions.
